Subject: Corporate Governance Rights & Compensation Framework – CEO Eddie Norward Jr.

Dear Legal Counsel,

This letter is intended to formally acknowledge and confirm the following terms and agreements between ULTRAV HOLDINGS LLC and Relativity Media LLC regarding the ongoing asset transfer and executive oversight:

1. Appointment and Compensation:
Mr. Eddie Norward Jr. shall serve as the Chief Executive Officer of ULTRAV HOLDINGS LLC, a Delaware corporation, with authority to oversee operations and business strategy pertaining to acquired Relativity Media assets. His weekly compensation shall be recognized and recorded by Human Resources, consistent with applicable payroll policies.

2. Inspection of Records:
Per standard corporate governance procedures, Mr. Norward, as CEO, shall be granted full access to inspect books, records, financials, and any related instruments required for effective management and fiduciary review.

3. Lawful Entry to Property:
This letter serves as affirmation that Mr. Norward is lawfully authorized to enter and operate within the premises at 5900 Wilshire Blvd, Los Angeles, CA, in his executive capacity on behalf of ULTRAV HOLDINGS LLC.

4. Trademark & IP Assertion:
ULTRAV HOLDINGS LLC asserts its rightful claim to trademarks, copyrights, and associated intellectual property detailed in the Bankruptcy Purchase Agreement, and reserves all rights under federal and state law.

5. Financial Oversight and Capital Commitment:
FINRA regulatory compliance matters will be handled exclusively through authorized legal counsel. The Sunset motion picture will be financed through secured assets and investment vehicles including, but not limited to, funds allocated within the following accounts:
